THIS AGREEMENT is made and entered into this day of _______, 2023, by and between XPRO Wrestling, a subsidiary of High Octane Wrestling, with its principal place of business in Chicago, Illinois, hereinafter referred to as the “Company,” and ________________, hereinafter referred to as the “Wrestler.”
1. TERM
The term of this Agreement shall commence on the date hereof and shall continue in full force and effect through December 31, 2024, unless earlier terminated as provided herein.
2. SERVICES
The Wrestler agrees to participate in wrestling matches, exhibitions, and events (collectively, the “Events”) organized by the Company. The Wrestler shall also participate in promotional activities, interviews, and other media appearances as requested by the Company.
3. COMPENSATION
The Company agrees to pay the Wrestler a fee of ________ per Event, payable within ________ days of each Event. The Wrestler will also receive a percentage of any merchandise sales featuring the Wrestler’s likeness, as further described in Exhibit A.
4. INDEPENDENT CONTRACTOR STATUS
The Wrestler is an independent contractor and is not an employee of the Company. The Wrestler is responsible for paying all taxes, insurance, and other statutory requirements arising from the remuneration received under this Agreement.
5. CONFIDENTIALITY
The Wrestler agrees to keep confidential all non-public information about the Company’s business and operations that the Wrestler learns during the term of this Agreement.
6. INDEMNIFICATION
The Wrestler agrees to indemnify and hold harmless the Company from any and all claims, damages, and expenses, including reasonable attorney’s fees, arising out of the performance of the Wrestler’s services under this Agreement.
7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois.
